1. Acceptance and eligibility

By accessing or using this website (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization and that the organization accepts these Terms.

You must be at least 16 years old to use the Site. If you are under the age of 18, you may only use the Site with the consent and supervision of a parent or legal guardian who agrees to be responsible for your use. The Site is intended to provide general educational information and tools; it is not designed for children.

2. Service description

Northbridge Investment Education provides educational articles, explanations, and interactive calculators related to stocks, dividends, income planning, diversification, and long-term investing concepts (collectively, the “Services”). The Services are provided for informational and educational purposes only.

The Services do not include brokerage services, trade execution, portfolio management, custody of assets, tax preparation, or personalized investment advice. We do not request or accept deposits, and we do not hold user funds. Any examples, scenarios, and calculator outputs are illustrations based on user inputs and stated assumptions. They are not predictions and do not constitute a recommendation to buy, sell, or hold any security.

3. User obligations

You agree to use the Site lawfully and in a manner consistent with these Terms. You will not use the Site for any fraudulent, harmful, or abusive purpose. 5. Prohibited activities

You agree not to engage in any of the following activities, and not to attempt to assist or enable others to do so:

• Scraping, crawling, or harvesting content or data from the Site using automated means without our written permission.
• Reverse engineering, decompiling, disassembling, or attempting to discover source code or underlying models or logic, except to the extent permitted by law.
• Interfering with or disrupting the integrity or performance of the Site, including introducing malware, attempting to bypass security measures, or performing denial-of-service attacks.
• Impersonating any person or entity, misrepresenting affiliation, or using the Site to send deceptive or unlawful communications.
• Using the Site for spamming, unsolicited marketing, or distributing content that infringes third-party rights.
• Attempting to access parts of the Site that you are not authorized to access, or attempting to probe, scan, or test system vulnerabilities.

We may take reasonable steps to prevent abuse, including rate limiting, blocking suspicious traffic, and suspending access for violations.

6. Disclaimer of warranties

7. Limitation of liability

To the maximum extent permitted by law, in no event will Northbridge Investment Education LLC, its officers, directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Site or Services.

To the maximum extent permitted by law, Northbridge’s total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount you paid to Northbridge for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is lower. If you have not paid Northbridge any amounts, the cap is €100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Northbridge Investment Education LLC and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

9. Third-party links and resources

The Site may reference third-party concepts, tools, or resources for educational context. If the Site contains links to external websites, those links are provided for convenience only. We do not control and are not responsible for the content, policies, or practices of third-party websites.

Your interactions with third parties are solely between you and the third party. You should review the third party’s terms and privacy policies before using their services.

Our Privacy Policy explains how we collect, use, store, and share personal data and how cookie preferences work. The Privacy Policy is incorporated by reference into these Terms. By using the Site, you acknowledge that you have read the Privacy Policy.

11. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to the Site or Services will be governed by the laws of the State of New York, United States, without regard to conflict of law principles.

Subject to Section 12 (Dispute Resolution), you agree that the state and federal courts located in New York County, New York, will have exclusive jurisdiction over any dispute and you consent to personal jurisdiction in those courts.

12. Dispute resolution

Before filing a legal claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected] and providing a brief description of the issue and the relief you seek. We will make a good-faith effort to resolve the matter within thirty (30) days.

If the dispute is not resolved within the informal resolution period, either party may bring a claim in the courts specified in Section 11. Nothing in these Terms limits a party’s right to seek injunctive or equitable relief to prevent unauthorized use of intellectual property or misuse of the Site.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or are using the Site in a manner that could harm other users or our operations. You may stop using the Site at any time.

Sections that by their nature should survive termination will survive, including Sections 4 (Intellectual Property), 5 (Prohibited Activities), 6 (Disclaimer of Warranties), 7 (Limitation of Liability), 8 (Indemnification), 11 (Governing Law), 12 (Dispute Resolution), and 15 (Contact).

14. Modifications to these Terms

We may update these Terms from time to time to reflect changes to the Site, legal requirements, or operational practices. Updated Terms will be posted on this page with a revised “Last Updated” date. Changes will become effective fourteen (14) days after posting unless a shorter period is required by law or the change is necessary for security or abuse prevention.
